Description:
- Perform transactional work, including reviewing, drafting, organizing, and summarizing agreements, resolutions, and other legal documents.
- Conduct UCC searches, filings, and public record searches, manage document reviews and productions, perform legal research, cite-checking, and due diligence.
- Assist with the preparation and filing of securities documents, such as Form D, Blue Sky, and EDGAR filings.
- Support mergers and acquisitions, corporate contract administration, corporate minute book maintenance, and corporate financing transactions.
- Prepare and file formation, incorporation, foreign qualification, merger, conversion, and IRS documents; maintain corporate records and assist with drafting corporate minutes.
- Ensure proper organization of files, documents, closing books, and corporate records.
- Interact with clients, governmental agencies, courts, corporations, and law firms to gather information and coordinate legal matters.
- Maintain a strong work ethic and uphold professionalism, managing a high volume of tasks with minimal supervision.
Requirements for Duties for Sr. Corporate Paralegal
- Associate or bachelor’s degree preferred, with at least 8 years of corporate paralegal experience required.
- Relevant experience in a legal or corporate setting is beneficial but not required.
- Proficient in MS Office with a commitment to staying updated on technological advancements.
- Ability to multitask, prioritize, and manage a demanding workload in a deadline-driven environment.
- Strong communication skills to effectively share information clearly and concisely.
