Description:
Our client is seeking a talented and experienced Corporate Finance Associate to join their team in Dallas, Texas. They are looking for a driven individual with substantial experience in representing administrative agents, lenders, and borrowers in complex financing transactions.
Responsibilities:
- Represent administrative agents, lenders, and borrowers in club and broadly syndicated credit facilities, acquisition financings, and private credit facilities.
- Negotiate and draft credit agreements, debt commitment letters, term sheets, security agreements, and various closing deliverables including secretary’s certificates, resolutions, legal opinions, schedules, and exhibits.
- Manage all aspects of deal management, ensuring timely and efficient progression from initiation to closing.
- Interact with clients to provide legal counsel and support, ensuring a high level of client satisfaction and strong, ongoing relationships.
- Support private equity sponsors and portfolio companies with financing transactions.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- Admission to the Texas State Bar.
- Experience in corporate finance law, with a strong focus on credit facilities, acquisition financings, and private credit.
- Proven track record in negotiating and drafting a wide range of legal documents related to financing transactions.
- Diligent, proactive, supportive, and able to work effectively in a team-oriented environment.
