The Role
HII has an exciting opportunity for a Director of Corporate Development at our Washington, DC office!
In this role, you will:
- Lead director for corporate development activities, including M&A, strategic partnerships, joint ventures, and corporate venture capital investments
- Drive daily management of the M&A process including full transaction lifecycle support from strategy formulation and target sourcing through valuation, financial forecasting, due diligence, transaction execution, negotiation and integration planning and p rovide M&A guidance and process leadership to executive leadership team
- Develop and present detailed analyses to support leadership in evaluating corporate financial strategy, strategic growth priorities, value creation & transformation strategies, mergers and acquisitions, divestitures, joint ventures and capital structure alternatives
- Manage all aspects of the transaction execution process including deal structuring, financial modeling and valuation, indication of interest, due diligence, and review and negotiation of transaction documentation
- Synthesize insights from due diligence to thoughtfully allocate elements of value and risk during the negotiation process
- Develop detailed financial and valuation models including revenue waterfalls, integrated pro forma merger models, accretion/dilution, synergy/incremental cost analysis, structured transaction analysis, tax consequences and working capital analysis
- Lead cross-functional due diligence efforts managing internal teams and external advisors to collaboratively assess quality of earnings, develop financial forecast, and identify and communicate risks
- Collaborate with finance, accounting, treasury and legal departments as well as investment banks and other third party financing sources to develop and execute debt and equity capital markets strategies
- Perform analysis of pro forma capital structure and p rovide strategic support to C-Suite for quarterly earnings preparation, activist defense, strategic operating plan review and investor relations
- Prepare presentations and materials for audiences that include the Board of Directors, executive management and external investors and m anage relationships with venture capital and private equity sponsors and identify opportunities for value creation
Must Have
- Bachelors degree in a relevant discipline (or the equivalent in education, training and experience), plus a minimum of 10 years of applicable, progressive professional and/or supervisory work experience
- The ability to obtain a Secret (or above) level DOD Security Clearance
