Capital Markets Associate

A highly respected DC firm is seeking a Capital Markets Associate to join their dynamic corporate practice. The group advises clients on regulatory & compliance matters, corporate governance best practices, and debt & equity financing, and helps navigate communication with various external parties such as regulators, listing agencies and rating agencies. The firm is particularly distinguished for its work on cutting-edge issues for publicly-listed clients, while maintaining a vibrant, entrepreneurial, and supportive culture.

The ideal candidate will possess a working knowledge of leveraged & investment grade covenant structures, enjoy helping clients navigate best practices for corporate governance, and advise clients on SEC reporting requirements. Communication skills are critical to excel in this role because this position is industry facing and works directly with issuers, underwriters, and sponsors to construct offerings.

Responsibilities

This position will focus on supporting full lifecycle capital markets transactions. Responsibilities include, but are not limited to:

• Advising clients on legal and regulatory matters
• Overseeing corporate governance and advising on best practices
• Providing advice on navigating SEC reporting requirements
• Constructing both registered and unregistered offerings
• Communicating with outside parties, including bankers, regulators, listing agencies, and rating agencies.
• Drafting documents and negotiating contracts

Qualifications

• Barred in Washington, DC
• 4-6 years of experience (JD Class of 2018 to 2020)
• Expertise on SEC reporting requirements
• Previous experience working with all parties in both registered and unregistered debt & equity offerings
• Working knowledge of leveraged and investment grade covenant structures preferred
